The short version
- Consigner is a tool that works on your marketplace accounts, under your control. You stay in charge of your business — the decisions, the listings, the numbers.
- Subscriptions renew automatically. Cancel anytime in one click — you keep access until the end of the period you paid for.
- We're not affiliated with StockX, eBay, or any marketplace. Your accounts there are governed by their rules; keeping those accounts in good standing is on you.
- Early-access software moves fast. We provide the Service as-is and cap our liability — the full legal language is below in Sections 12–14.

1.Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Consigner (“Consigner,” “we,” “us”) governing your use of the consigner.ai website, waitlist and application forms, and the Consigner application (together, the “Service”).
By accessing the Service, creating an account, joining the waitlist, submitting an application, or subscribing, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” means that business.
2.Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. The Service is a business tool for professional resellers; it is not intended for personal, family, or household use, and it is not directed at consumers or children.
3.The Service
Consigner provides software that helps resellers operate across marketplaces — connecting accounts you own into one dashboard, syncing listings, orders, and payouts, assisting with bookkeeping and reconciliation, and automating routine tasks that you configure and approve.
Early access. Parts of the Service are offered as early access or beta. Early-access features are under active development: they may change, be interrupted, contain errors, or be discontinued. We ship fast and fix fast, but you acknowledge that early-access software is provided with that understanding.
We may modify, add, or remove features at any time. If a change materially reduces the core value of a paid plan, your remedy is to cancel and, where the law requires it, receive a pro-rated refund of prepaid, unused fees.
4.Your account
- Provide accurate information when you register or apply, and keep it current.
- You are responsible for safeguarding your password and for all activity under your account. Notify us immediately at team@consigner.ai if you suspect unauthorized access.
- One account per business unless we agree otherwise. You may not sell, transfer, or share account access outside your business.
5.Plans, billing & cancellation
Subscriptions
- Paid plans are billed in advance on a monthly or annual cycle through Stripe, and renew automatically until canceled.
- Prices are shown at checkout. Founder pricing: where we offer a founder rate, that rate stays locked for your subscription for as long as it remains continuously active.
- We may change pricing for new customers at any time. For existing subscriptions, we'll give at least 30 days' notice before any price change takes effect, and it will apply from your next renewal.
- You are responsible for any applicable taxes.
Free trials
Where a plan includes a free trial, your paid subscription begins automatically when the trial ends unless you cancel before then. We'll state the trial terms at checkout.
Cancellation & refunds
- Cancel anytime from your account's billing portal — no emails or phone calls required. Cancellation takes effect at the end of your current billing period, and you keep access until then.
- Except where required by law or expressly stated otherwise, fees are non-refundable and we do not provide refunds or credits for partial periods, unused time, or downgrades.
- If a payment fails, we may retry it and notify you; continued failure may result in suspension or downgrade of your plan.
6.Acceptable use
You agree not to:
- Use the Service for anything unlawful — including selling counterfeit or stolen goods, fraud, money laundering, or deceiving buyers or platforms.
- Violate the terms, policies, or rate limits of any platform you connect to the Service.
- Probe, scan, disrupt, overload, or attempt to gain unauthorized access to the Service or others' accounts or data.
- Reverse engineer, copy, resell, sublicense, or white-label the Service, or use it to build a competing product.
- Upload malicious code, spam our forms, or evade our security or anti-abuse measures.
- Misrepresent your identity or business in your application or account.
We may suspend or terminate accounts that violate this section (see Section 15).
7.Third-party platforms
The Service connects to marketplaces and platforms that we do not own or control — including StockX, eBay, Alias/GOAT, Grailed, Poizon, Mercari, Poshmark, Whatnot, and Shopify. Consigner is an independent product and is not affiliated with, endorsed by, or sponsored by any of these platforms. All marketplace names and logos are trademarks of their respective owners.
- Your relationship with each platform is governed by that platform's own terms, and you are solely responsible for complying with them.
- You represent that the accounts you connect are yours (or that you are authorized to manage them) and that using Consigner with them does not breach any agreement that binds you.
- Platforms change their systems, policies, and APIs without notice. We work hard to keep integrations reliable, but we are not responsible for actions a platform takes against your account (suspensions, delistings, holds, fee changes), for platform outages or data errors, or for a platform blocking or restricting Consigner's access.
8.Automation & AI features
Consigner automates work — listing, delisting, syncing, reconciling — and uses AI to assist with tasks like drafting listings and organizing your books. You stay in control:
- Automated actions run under the configuration, rules, and approvals you set. You are responsible for reviewing that configuration and the actions taken under it.
- AI-generated output (listing copy, suggestions, summaries, figures) may contain errors. It is assistance, not advice — verify anything that matters before you rely on it.
- The Service's bookkeeping features organize your data for operational use. They are not accounting, tax, legal, or financial advice. Verify your figures with a qualified professional before filing taxes or making financial decisions.
- You are solely responsible for your business decisions — pricing, listing content, order fulfillment, marketplace conduct, and regulatory compliance (including consumer-protection and tax obligations).
9.Your data
You own your data. The business data you bring to or generate in the Service — listings, sales records, costs, payouts, contacts — is yours. You grant us a limited license to host, process, and display it solely to operate and support the Service for you, as described in our Privacy Policy.
- You can export your data and you can leave. We don't hold your books hostage.
- You are responsible for the accuracy and legality of the data you provide.
- We protect your data with the safeguards described in the Privacy Policy, and we never sell it.
10.Our intellectual property
The Service — including its software, design, branding, logos, and content (excluding your data) — is owned by Consigner and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your business while you have an active account, subject to these Terms. No other rights are granted.
11.Feedback
If you send us ideas, suggestions, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation. (We genuinely read it all — early users shape the roadmap.)
12.Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that data (including synced marketplace data and bookkeeping figures) will be accurate or complete; that defects will be corrected; or that the Service will achieve any particular business result, sales volume, or profit.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case, warranties are limited to the minimum scope and period required by law.
13.Limitation of liability
To the maximum extent permitted by law: (a) in no event will Consigner, its owners, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost or corrupted data, loss of goodwill, business interruption, or the actions of any third-party platform (including account suspensions, delistings, holds, or fee changes), arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages; and (b) Consigner's total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (i) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (ii) one hundred US dollars ($100).
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case, our liability is limited to the smallest amount permitted by law.
Nothing in these Terms limits liability that cannot be limited by law, including liability for fraud or for gross negligence or willful misconduct where such limits are not permitted.
14.Indemnification
You agree to defend, indemnify, and hold harmless Consigner and its owners, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your data or the goods you sell; (c) your violation of these Terms or of applicable law; (d) your violation of any third-party right, including the terms of any platform you connect; or (e) any dispute between you and a buyer, supplier, or platform.
15.Termination
- By you: cancel your subscription anytime (Section 5); you may also ask us to delete your account and data entirely.
- By us: we may suspend or terminate your access immediately if you materially breach these Terms (including Acceptable Use), create risk or legal exposure for us or other users, or fail to pay. Where reasonable, we'll notify you and give you a chance to fix the problem first.
- On termination, your license to use the Service ends. We'll make your data available for export for a reasonable period (at least 30 days) unless the law requires otherwise or your conduct makes that inappropriate. Sections that by their nature should survive (including 9–14 and 16) survive termination.
16.Governing law & disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules.
Talk to us first. Most issues can be fixed with one email — before filing any claim, you agree to contact us at team@consigner.ai and give us 30 days to resolve it informally.
Any dispute that can't be resolved informally will be brought exclusively in the state or federal courts located in Florida, and you and Consigner consent to their jurisdiction. To the extent permitted by law, both parties waive any right to a jury trial and agree that claims may be brought only in an individual capacity — not as a plaintiff or class member in any class, consolidated, or representative action. Either party may seek relief in small-claims court for qualifying disputes, and nothing prevents either party from seeking injunctive relief to protect intellectual property or data.
17.General terms
- Changes to these Terms. We may update these Terms as the Service evolves. We'll update the date above and, for material changes, notify you by email or in-product notice at least 14 days before they take effect. Continued use after that means you accept the updated Terms; if you don't, cancel before they take effect.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Consigner about the Service, superseding prior agreements.
- Severability. If any provision is found unenforceable, the rest remain in full effect, and the provision will be enforced to the maximum extent permitted.
- No waiver. Our not enforcing a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may notify you via the email on your account; legal notices to us go to team@consigner.ai.
